Unlike a crowdfunding platform that lets anyone become an investor in your company via an open marketplace, Party Round is a fundraising tool. It makes it easy to raise money from your friends and your immediate networks, so you always know who’s on your cap table.

Party Round is currently free to use for founders and investors.

Currently, Party Round supports all US-based C-Corps raising on a SAFE. Our SAFEs follow the YC template which can be found here.

Party Round supports US-based investors. International investors may opt for USDC payments.

A SAFE (Simple Agreement for Future Equity) is an agreement between a company and an investor that essentially serves as a placeholder for equity in the company’s next fundraise.

Party Round doesn’t currently accommodate custom SAFEs. If you have any additional questions about a SAFE that does not follow the YC standard, feel free to email us at support@partyround.com.

We currently support additional documents that only require filling in a signature page.

SPV entities can invest through Party Round via invite, but we don’t currently spin up and manage SPVs. For now, each investor will show up on your cap table individually.

With an SPV, all of the participating investors will show up as one line item on your cap table. On the other hand, our product automates direct-to-cap-table fundraising, so each investor that invests via Party Round will show up as an individual line item on your cap table.

Party Round is best equipped to support important investments from individuals, whereas SPVs will combine big checks in one entity on your cap table.

Although we’ve had funds come through Party Round, the current platform isn’t fully equipped to support large funds or institutions.

Can I use both at the same time?

Founders can certainly use both Party Round and an SPV at the same time, however, Party Round has been helpful for both large checks and smaller friend & family checks too, especially for earlier stage startups.

We currently do not offer cap table management, but founders are able to export a CSV of their cap table that’s compatible with tools like Carta.

Founders can create as many rounds as needed and set different terms for each SAFE. 

To create another round:

1. Tap the drop down arrow on your Round Name.
2. Tap “Start” under “Go another round?”

Founders and investors can download their SAFEs during the round, and upon close you’ll be able to export all of your signed SAFEs.

‍

SAFEs are automatically signed by the investor and founder each time a commitment is made. No further action is needed from the investor or founder for signatures.

‍

Founders can transfer funds to any linked external bank account as soon as funds are received. You can transfer as funds come in, or you can wait until you close the entire round. To transfer funds, tap the three dots next to your funds received and click “Transfer”.

There are no links to individual rounds. Each invitation is private and unique to each investor. Additionally, while you can tweet about the fact that you are using Party Round for your fundraise, we recommend that you familiarize yourself with general solicitation laws, which prevent founders from broadly soliciting their round.
